TradeXBank AG announces changes to the Board of Directors
Zurich, 9 September 2025 – At its Extraordinary General Meeting today, TradeXBank’s shareholders have elected Philippe Clémençon as non-executive Chairman to the Board of Directors. He succeeds Nasri Victor Malhamé who had assumed the role of Chairman on an ad-interim basis following Christian Lüscher’s decision not to stand for re-election to the Board at this year’s Annual General Meeting in June. Nasri Victor Malhamé will continue to serve as Vice Chairman of the Board.
At the Annual General Meeting, shareholders re-elected Bernard Fishman, who will also continue to lead the Audit and Risk Committee. In addition, shareholders elected Ulrich Sauter as new independent Director and Martin Frischknecht as new non-independent Director and Vice Chairman alongside Nasri Victor Malhamé. Nabil Jean Sab and Christian Schuwey decided to step down from the Board. Both had initially expressed their intention to do so at this year’s AGM but agreed to the Board’s wish to extend their mandate in order to ensure a smooth transition.
Philippe Clémençon (1968) is a Swiss citizen. He began his career at Ernst & Young in Audit and Forensic Services before joining Credit Suisse in 2000. He held numerous senior leading positions, including Chief Operating Officer for the EMEA and APAC Private Banking Division from 2013 to 2016, Chief Risk Officer of Credit Suisse Switzerland Ltd. from 2016 to 2019, and later Head of Trade and Commodity Finance from 2019 to 2023. In 2024, Philippe founded Promethium Partners, GmbH, where he serves as Managing Partner.
Ulrich Sauter (1970), is a Swiss citizen and Attorney at Law at Zurich based law firm Advoro, advising clients on capital markets and corporate law. He previously served as General Counsel, Member of the Executive Board and Corporate Secretary of Leonteq, and until January 2025, as General Counsel of Maverix Securities AG, FINMA supervised securities firms.
Martin Frischknecht (1968) is a Swiss citizen and seasoned investment banker and corporate finance expert with more than 30 years of experience. From 1998 to 2023, he held various senior leadership roles at Credit Suisse, ultimately serving as Managing Director and Member of the Investment Bank Switzerland Management Committee, advising large and mid-market Swiss corporate clients. Since 2024, Martin has served as a Member of the Board of Directors and Senior Advisor at Value Trust. In addition to these roles, Martin supports Swiss SMEs on various governance and advisory mandates.
